John Plender in the Aug. 1, 2001, Financial Times surveys corporate governance issues in Japan which are similar to those in many developing countries. He believes that there are weak restraints on chief executives of large public Japanese companies and returns to equity investors have been "dismal." He discusses ways to improve corporate goverance including better accounting and auditing, a new commercial code, easier takeovers, and more active institutional investors.
